Key Facts :
Twitter shareholders voted Tuesday to approve Elon Musk’s $44 billion bid to buy the company and take it private.
The vote comes as Musk is seeking to back out of the deal, leading to Twitter suing him for allegedly breaking the agreement
The Story :
Twitter’s shareholders have voted to approve a proposed $44 billion acquisition by Elon Musk.
Musk proposed a buyout of Twitter in April. Twitter has encouraged investors to accept it since then, even as Musk has filed numerous requests to terminate the agreement. Today’s vote lets Twitter continue with a lawsuit intended to make Musk close the acquisition.
The approval means that Musk and Twitter will proceed to an October trial in the Delaware Court of Chancery. Musk is set to argue that Twitter concealed important facts about its internal operations, including an alleged undercount of spam and bot accounts on the platform as well as details revealed by former Twitter security head Peiter “Mudge” Zatko. Twitter will push to close the deal regardless, alleging that Musk’s complaints are merely a pretext for backing out.

You could be able to watch Uranus vanish on Wednesday night, September 14, depending on where you are in the world. (Don't worry; it'll return in a few hours.)
The sixth planet from the sun will appear to pass straight behind the moon on Wednesday, disappearing entirely from view for three and a half hours. Around 4:41 p.m., the big disappearing act—also referred to as the lunar occultation of Uranus—begins. by 8:11 p.m. ET (2041 GMT). ET (on September 15, 00:11 GMT), according to In-the-sky.org. However, spectators must be in Europe, northern Africa, or western Asia to see the illusion operate.
Since Uranus is not visible to the unaided eye planet, viewers in these areas will still require binoculars or a telescope to watch the display.
Don't worry if you don't live in one of those locations or don't own a telescope; the Virtual Telescope Project will webcast the occultation live from Rome starting at 4:45 p.m. ET (2045 GMT).
Any astronomical occurrence when one object appears to be concealed behind another is referred to as an occultation. An eclipse, which happens when one thing casts its shadow directly over another, like when the moon's shadow passes over Earth during a solar eclipse, is slightly different from this event.
Due to the moon's prominence in our sky, lunar occultations are the most frequently observed from Earth. But depending on where on the world you are viewing from, the moon's position in the sky may appear slightly different due to its proximity to Earth. As a result, only a tiny portion of the world's population that just so happens to have the ideal viewing angle can see any lunar occultations.
Fortunately, they happen frequently, so another lunar disappearing act is never far away. Last month, on August 18, Live Science's sister site Space.com revealed that the final moon occultation of Uranus that was visible from North America took place. That night, Uranus triumphed, and tomorrow it will undoubtedly do the same.
